Quick summary (not part of the agreement)

TripFumi is an AI-assisted travel planner published by Zenfumi, Inc. By using TripFumi you agree to these Terms. The key points: you must be at least 13; AI features can be wrong and you must verify anything safety-relevant (departure times, gate info, visa or medical requirements, prices); your data belongs to you but you give us a limited license to operate the service; TripFumi helps you search for flights, hotels, and restaurants and then hands you off to the airline, hotel, travel agency, or restaurant (or its reservation platform) to book or reserve, so any booking is a contract between you and that provider and not with TripFumi; paid subscriptions auto-renew through your app store until you cancel; disputes are governed by Delaware law and resolved in the courts identified below; you can delete your account from inside the app at any time. The summary above is for convenience only — the binding agreement is the numbered sections below.

1. Introduction and acceptance

These Terms of Service ("Terms") are a binding agreement between you ("you" or "User") and Zenfumi, Inc., a Delaware corporation, doing business as "TripFumi" ("Zenfumi," "we," "us," or "our"). They govern your access to and use of the TripFumi mobile applications, websites at tripfumi.com and its subdomains, application programming interfaces, notifications, and related services we provide (collectively, the "Services").

By creating an account, signing in, installing the TripFumi mobile application, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, do not access or use the Services.

These Terms include important provisions that affect your legal rights, including Section 18 (Disclaimers), Section 19 (Limitation of Liability), and Section 21 (Governing Law and Venue). Please read them carefully.

2. The Services

TripFumi provides software that helps you plan, organize, track, and share travel. Features may include, without limitation:

AI-assisted trip planning, itinerary generation, and packing or activity suggestions;
Automatic parsing of travel confirmations that you forward to TripFumi by email or otherwise grant access to;
AI-generated trip cover images and other generated media;
Real-time flight status monitoring, alerts, and connection-risk insights powered by third-party flight data providers;
Travel search across flights, hotels, restaurants, and activities, with results, prices, and availability drawn from third-party sources, and hand-off links that take you to an airline, hotel, travel agency, restaurant, or reservation platform to complete a booking or reservation on its own website or app;
Trip sharing, invitations, friend lists, and collaborative planning with co-travelers;
Expense tracking, splitting, and settlement notes;
Calendar integration, push and email notifications, photo and document attachments, and address or place lookup.

We may add, change, suspend, or remove features at any time. Some features may be offered only as part of a paid subscription, only in certain regions, or only on certain platforms, and feature availability may differ between the mobile app and any web interface.

3. Eligibility

You must be at least 13 years old to use the Services. If you are under the age of majority in your jurisdiction (typically 18), you may use the Services only with the consent and supervision of a parent or legal guardian who agrees to be bound by these Terms on your behalf. By using the Services you represent and warrant that:

you meet the age requirements above;
you have the legal capacity to enter into a binding contract;
you are not barred from using the Services under the laws of the United States or any other applicable jurisdiction;
you are not located in a country subject to a comprehensive U.S. trade embargo, and you are not on any U.S. government list of prohibited or restricted parties; and
you will not use the Services in violation of any applicable export-control or sanctions law.

We do not knowingly collect personal information from children under 13. If we learn that we have done so, we will delete it.

4. Accounts

4.1 Creating an account

You may create an account using a verified email address (one-time passcode), Sign in with Apple, or Sign in with Google. You agree to provide accurate, current, and complete information and to keep that information up to date.

4.2 Account security

You are responsible for safeguarding your account credentials, the device(s) on which you are signed in, and all activity that occurs under your account. You agree to notify us immediately at support@tripfumi.com if you suspect any unauthorized access. We are not liable for any loss or damage arising from your failure to protect your credentials or to notify us of unauthorized access.

4.3 One account per person

You may not maintain more than one TripFumi account at a time without our prior written consent, and you may not share your account with others.

4.4 Suspension and termination by us

We may suspend, restrict, or terminate your account or your access to any part of the Services at any time, with or without notice, if we believe in good faith that you have violated these Terms, that your use of the Services is abusive, excessive, harmful, or inconsistent with their intended use, that your account presents a security or legal risk, or that we are required to do so by law.

4.5 Account deletion by you

You may delete your account at any time from inside the TripFumi app, or by writing to privacy@tripfumi.com. Deletion is processed in accordance with our Privacy Policy and Section 22. Some information may be retained as required by law or for legitimate business purposes (for example, to comply with tax or fraud-prevention obligations or to defend legal claims).

5. Subscriptions, billing, and refunds

5.1 Free and paid tiers

TripFumi is offered in a free tier and a paid subscription called "TripFumi Premium," currently offered as weekly, monthly, and annual auto-renewing plans (collectively, the "Paid Plans"). We may add, modify, or discontinue Paid Plans, change pricing, or change the features included in any tier with reasonable notice. The features available without a Paid Plan, and the effect of a Paid Plan ending, are described in Section 5.9.

5.2 Auto-renewing subscriptions

Paid Plans are sold as auto-renewing subscriptions through the Apple App Store or Google Play. By starting a subscription, you authorize the applicable app store to charge the payment method on file for the subscription fee at the start of each billing period (monthly, annually, or as otherwise disclosed at the point of purchase) until you cancel.

5.3 Cancellation

You may cancel at any time through the subscription-management settings of your Apple ID or Google account. Cancellation takes effect at the end of the then-current billing period; you will retain access to paid features until that date. Uninstalling the TripFumi app does not cancel your subscription.

5.4 Free trials

Paid Plans currently include a 30-day free trial for eligible new subscribers, provided through the app stores' introductory-offer mechanisms. You must cancel before the trial ends to avoid being charged. Eligibility for free trials may be limited (for example, one trial per user, household, or payment method) and is determined by the applicable app store.

5.5 Refunds

Because Paid Plans are billed by the Apple App Store or Google Play, all refund requests are governed by the policies of the applicable app store. We do not directly process payments or refunds for store-billed subscriptions, except where required by law.

5.6 Taxes

Stated prices may not include taxes, levies, or duties imposed by tax authorities. Where applicable, such amounts will be added to the price collected by the app store, or you are responsible for paying them.

5.7 Price changes

We may change subscription prices. Where required by law or app-store policy, we will give you advance notice and an opportunity to cancel before the new price takes effect.

5.8 Apple-required terms

Subscription billing through the Apple App Store is also subject to the platform terms in Section 17.

5.9 Free features and effect of expiry

Without an active Paid Plan (including a free trial), you can still: view all travel content you own or that others have shared with you; send and accept invitations and manage sharing of your trips; view or delete expenses, manage or send existing receipts, record payments, split and settle existing expenses, and export expense reports; manage your settings; and delete your content or your account. Creating or editing trips, plans, and expenses, assistant features, and automatic processing of forwarded travel emails require an active Paid Plan.

A trip you own can be edited by you and by Collaborators you have granted an editor role only while you maintain an active Paid Plan. If your Paid Plan expires, trips you own become read-only for you and your Collaborators until you resubscribe; viewing, sharing management, expense viewing, receipt management, payments, settlement, and deletion remain available. Travel emails forwarded while you do not have an active Paid Plan are not processed; we may reply to such an email with a link to subscribe.

6. License to use the app

Subject to your compliance with these Terms, Zenfumi grants you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable license to download and use the TripFumi mobile application on a device that you own or control, solely for your own personal, non-commercial use. All rights not expressly granted are reserved.

7. AI features and outputs

This is an important section. Please read it carefully.

7.1 What is AI-generated

TripFumi includes features that use artificial intelligence and machine-learning models, including large language models and image-generation models operated by Zenfumi and by third-party AI providers. These features include, without limitation:

AI trip planning and recommendations, including itineraries, activities, restaurants, neighborhoods, and packing suggestions;
Reservation parsing, in which AI models read travel-related emails you forward or otherwise grant access to and extract structured details such as flight numbers, dates, times, locations, and confirmation codes;
Cover-image and other media generation, in which AI models generate or modify images shown alongside your trips;
AI chat and assistant features, where applicable; and
Flight-risk and connection inference, in which AI or rule-based systems estimate disruption risk based on third-party data.

Collectively, the foregoing are referred to as "AI Outputs."

Some assistant features can also run on a schedule or in response to travel events — for example, reminders you set, or disruption alerts for flights you track — and may process your trip data and send you notifications without a contemporaneous request from you.

7.2 No reliance

AI OUTPUTS ARE GENERATED AUTOMATICALLY AND MAY BE INCORRECT, INCOMPLETE, OUTDATED, BIASED, OR OTHERWISE UNRELIABLE. AI OUTPUTS MAY APPEAR CONFIDENT EVEN WHEN THEY ARE WRONG. YOU SHOULD NOT RELY SOLELY ON AI OUTPUTS FOR ANY DECISION, ESPECIALLY ANY DECISION INVOLVING TRAVEL DOCUMENTS, ENTRY OR EXIT REQUIREMENTS, VACCINATION OR HEALTH REQUIREMENTS, SAFETY, FINANCIAL COMMITMENTS, OR LEGAL OBLIGATIONS. Before you act on an AI Output, you are solely responsible for verifying it against authoritative sources, including airline websites, government websites, embassies and consulates, licensed travel agents, qualified medical professionals, and qualified legal or financial advisors.

7.3 Not professional advice

AI Outputs are provided for general informational and planning purposes only. They are not legal advice, medical or public-health advice, visa or immigration advice, tax or financial advice, professional travel-agent advice, or insurance advice, and they do not create any professional relationship between you and Zenfumi.

7.4 Flight, lodging, restaurant, weather, and place data

Flight statuses, gate assignments, flight and hotel search results, prices and availability, restaurant listings, weather forecasts, place details, addresses, business hours, and similar information are sourced from third-party travel-data and search providers and may be delayed, incomplete, inaccurate, or out of date. Prices and availability in particular change constantly and are not guaranteed; the figure shown in TripFumi may differ from the price or availability offered when you reach the provider. Always confirm departure, boarding, gate, and check-in information directly with the airline or operator before you travel, and confirm the final price, availability, and terms directly with the provider before you book.

7.5 Permitted use of AI Outputs

You may use AI Outputs for your personal, non-commercial trip planning. You may not:

use AI Outputs to develop, train, fine-tune, or evaluate any artificial-intelligence or machine-learning model that competes with TripFumi or any third-party model provider;
use AI Outputs to identify any individual; or
represent AI Outputs as human-authored or as official statements of Zenfumi.

7.6 Third-party model providers

We use third-party AI providers to power some AI features. Your inputs and User Content may be transmitted to those providers solely for the purpose of generating AI Outputs for you. Depending on the provider and configuration, requests may be processed under zero-data-retention terms; other providers may retain prompts or responses for a limited period, such as for abuse monitoring, under their API terms. We configure and contract with providers so they do not use your content to train their foundation models. Our handling of those inputs is described in our Privacy Policy.

8. Your content

8.1 What "User Content" means

"User Content" means everything you submit to, upload to, or create through the Services, including trips, plans, notes, expenses, attachments, photos, messages, place lists, profile information, and the contents of any emails you forward to TripFumi.

8.2 Ownership

You retain ownership of your User Content. These Terms do not transfer ownership of your User Content to Zenfumi.

8.3 License to Zenfumi

You grant Zenfumi a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to host, store, reproduce, modify, create derivative works of, transmit, display, and otherwise use your User Content solely as necessary to operate, provide, secure, support, and improve the Services for you and the people you choose to share with, including by transmitting it to third-party processors that power TripFumi (such as cloud-storage and AI providers). This license ends when you delete the User Content or your account, except for backup copies that are deleted on our routine schedule and for content already shared with co-travelers under Section 10.

8.4 No sale; no third-party model training

We do not sell your User Content. We do not use your User Content to train foundation models for any third party. Any future change to this commitment would require your affirmative opt-in and would be disclosed in our Privacy Policy.

8.5 Your representations about User Content

By submitting User Content, you represent and warrant that:

you own the User Content or have all rights, licenses, and permissions necessary to submit it and to grant the license in Section 8.3;
the User Content does not infringe, misappropriate, or violate any third party's intellectual-property, privacy, publicity, contract, or other rights;
the User Content does not contain unlawful, defamatory, harassing, threatening, obscene, or otherwise objectionable material;
where the User Content includes personal information of another person (such as a co-traveler's name, photo, or contact details), you have obtained any consent required by applicable law; and
you are responsible for backing up User Content that is important to you.

8.6 Feedback

If you send us suggestions, ideas, bug reports, or other feedback, you grant Zenfumi a perpetual, irrevocable, royalty-free license to use that feedback for any purpose, without any obligation to you.

9. Email forwarding and inbound-email parsing

TripFumi includes features that accept travel-related emails you forward to a TripFumi address. By using those features, you authorize Zenfumi to receive, store, parse (including with AI models), and use the contents of those emails to create and maintain trip data in your account. You are responsible for ensuring that you have the right to forward the email, that it does not contain confidential information of any other person, and that forwarding it does not violate any agreement with a third party.

10. Sharing and co-travelers

TripFumi lets you invite friends, family, and co-travelers ("Collaborators") to view or contribute to your trips, expenses, and other content. When you share with Collaborators:

the shared content becomes visible to those Collaborators and may be downloaded, screenshotted, copied, or further shared by them outside the Services;
once you have shared content, we cannot retract copies that Collaborators have already accessed or stored;
Collaborators may add their own content to a shared trip and, where you enable it, may invite additional Collaborators;
you are responsible for who you invite and what you share with them.

We provide controls (including blocking) to help manage interactions with other users, but we are not responsible for the conduct of other users.

11. Device permissions and data sources

The Services may request access to certain device features and data sources, including, depending on what you use:

Contacts (for friend discovery and invitations);
Location (for nearby places, time zones, weather, and trip context);
Calendar (for syncing trip plans with your device calendar);
Photos, camera, and files (for trip covers, attachments, and profile images);
Notifications (for push notifications about your trips and flights).

Each of the above is opt-in through your device's operating-system permission prompts. You may revoke any of these permissions at any time in your device settings. Revoking a permission may degrade or disable the related feature. How we handle data accessed through these permissions is described in our Privacy Policy.

12. Third-party services and third-party bookings

12.1 Third-party services we use

The Services rely on providers that support cloud infrastructure, storage, security, communications, artificial intelligence, authentication, subscriptions, notifications, app updates, analytics, diagnostics, customer support, and travel features such as search, flight data, places, maps, time zones, weather, rideshare estimates, and currency conversion. We may change providers over time without reducing our obligations under these Terms or our Privacy Policy.

TripFumi includes Google Maps features and content. Your use of those features and content is subject to the then-current Google Maps/Google Earth Additional Terms of Service and Google Privacy Policy.

When you choose to open or use a third-party app, website, map, app store, rideshare service, or booking provider, your use of that service is governed by its terms and privacy policy. We are not responsible for its availability, accuracy, content, or conduct. Links to third-party sites or services are provided for convenience and do not imply endorsement.

12.2 Travel search, bookings, and reservations

TripFumi helps you search for and compare flights, hotels, restaurants, and other travel options, and then directs you to a third party — such as an airline, hotel, online travel agency, restaurant, or reservation platform — to complete any booking or reservation on that third party's own website or app.

We are an intermediary, not the provider. TripFumi does not own, operate, sell, resell, or control any flight, lodging, restaurant, or other travel service shown in the Services. We are not a travel agency, tour operator, airline, hotel, or restaurant, and we are not a party to, and have no responsibility for, any booking or reservation you make with a third party.
Your contract is with the provider. Any booking or reservation you make is a contract between you and the airline, hotel, travel agency, restaurant, or reservation platform. That provider's own terms and policies — including fare rules, conditions of carriage, room and rate rules, and deposit, payment, change, cancellation, refund, and no-show policies — govern your booking, and you should review and accept them before you book.
Prices and availability are not guaranteed. Prices, fares, fees, taxes, and availability are set by the providers and change constantly. What you see in TripFumi may differ from what the provider offers when you reach its site, and we do not guarantee that any price or availability shown will still be available. We are not obligated to honor an obviously erroneous price.
Hand-off and confirmation. When you choose to book or reserve, you leave TripFumi and complete the transaction with the third party under its terms. We do not receive confirmation of, and cannot verify, whether you started, completed, changed, or cancelled a booking. Booking confirmations, changes, cancellations, refunds, and customer support for a booking are handled by the provider, and you should contact the provider directly for them.
Restaurant reservations. Where TripFumi surfaces a reservation link, the restaurant (or its reservation platform) is solely responsible for the reservation and your dining experience, including honoring the reservation, table availability, and any cancellation, no-show, or fee policy. Disputes about a reservation or a charge should be raised with the restaurant or its reservation platform.
No payment to us; details go to the provider. We do not collect payment for, or process, these bookings or reservations, and we do not act as your agent in making them. You provide any payment, traveler, and contact details directly to the third party, which handles that information under its own terms and privacy policy. How TripFumi handles the limited search and trip information it does process is described in our Privacy Policy.

We are not responsible for the acts, errors, omissions, representations, warranties, or conduct of any airline, hotel, travel agency, restaurant, reservation platform, or other travel provider, or for any loss, injury, delay, or damage arising from your dealings with them.

13. Acceptable use

You agree not to, and not to permit anyone else to:

use the Services in violation of any applicable law, regulation, or third-party right;
access, tamper with, or use non-public areas of the Services, our systems, or our technical-delivery systems;
probe, scan, or test the vulnerability of any TripFumi system, or breach any security or authentication measures;
decompile, disassemble, reverse-engineer, or attempt to discover the source code, models, or underlying algorithms of the Services, except to the extent that applicable law expressly prohibits this restriction;
scrape, crawl, or use automated means to access the Services or collect data from the Services, except with our prior written consent or as expressly permitted by our published APIs;
make excessive or abusive use of any feature or resource of the Services — including AI features, email forwarding and parsing, storage, search, and notifications — or circumvent or attempt to circumvent any usage limit, rate limit, quota, or restriction of the free tier or any Paid Plan;
use the Services or AI Outputs to develop or improve any competing product or any machine-learning model;
impersonate any person or entity, or misrepresent your affiliation with any person or entity;
send spam, chain letters, junk mail, or unsolicited promotional messages through the Services;
upload viruses, malware, or other harmful code, or interfere with the operation of the Services or the experience of other users;
harass, threaten, defame, stalk, or surveil any person, or use flight, location, or other TripFumi data to facilitate stalking, harassment, or domestic abuse;
exploit, sexualize, or endanger minors in any way;
infringe or misappropriate the intellectual-property, privacy, publicity, or other rights of any third party;
use the Services for any purpose other than their intended purpose of personal travel planning, organization, and coordination as described in Section 2 and licensed in Section 6, or otherwise misuse the Services or use them to cause harm to any person, to Zenfumi, or to any third party; or
attempt, encourage, or assist any of the foregoing.

We may investigate suspected violations and may report them to law-enforcement authorities or other appropriate parties.

14. Intellectual property

The Services, including all software, models, prompts, designs, content, trademarks, logos, and other materials provided by Zenfumi (excluding User Content), are owned by Zenfumi or its licensors and are protected by intellectual-property and other laws. "TripFumi," the TripFumi logo, and related names and marks are trademarks of Zenfumi. You may not use those marks without our prior written consent.

15. Copyright complaints

We respect intellectual-property rights and respond to notices of alleged copyright infringement that comply with the Digital Millennium Copyright Act ("DMCA"). If you believe content on the Services infringes a copyright you own or control, please send a written notice to our designated copyright agent at:

Your notice must include the information required by 17 U.S.C. § 512(c)(3), including: identification of the copyrighted work; identification of the allegedly infringing material and sufficient information to locate it; your contact information; a statement of good-faith belief that the use is not authorized; a statement, under penalty of perjury, that the information is accurate and that you are authorized to act on behalf of the copyright owner; and your physical or electronic signature. We may remove or disable access to allegedly infringing material and may terminate the accounts of repeat infringers. If you believe that content was removed in error, you may submit a counter-notice to the address above with the information required by 17 U.S.C. § 512(g).

16. Termination

These Terms remain in effect while you use the Services. You may stop using the Services and delete your account at any time. We may suspend or terminate your access at any time as described in Section 4.4. Upon termination:

your license to use the Services ends and you must stop using them;
if you have a paid subscription that you did not cancel for cause, you retain access through the end of your then-current billing period, subject to Section 5;
we will handle your User Content as described in our Privacy Policy and Section 22; and
the provisions of these Terms that by their nature should survive termination will survive, including Sections 7.5, 8, 12, 13, 14, 18, 19, 20, 21, 24, and 25.

17. Apple and Google platform terms

The following platform-specific provisions apply to the TripFumi mobile application when you obtain or use it on Apple or Google platforms. If there is any conflict between these Terms and the platform terms required by Apple or Google, the platform terms control to the extent of the conflict, but only with respect to that platform.

17.1 Apple App Store

If you obtained the TripFumi app from the Apple App Store, the following additional terms apply ("Apple Terms"):

Acknowledgement. These Terms are between you and Zenfumi only, and not with Apple Inc. ("Apple"). Zenfumi, not Apple, is solely responsible for the TripFumi app and its content.
Scope of license. Your license to use the TripFumi app is limited to a non-transferable license to use it on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions, except that the app may be accessed and used by other accounts associated with you via Family Sharing or volume purchasing.
Maintenance and support. Zenfumi is solely responsible for any maintenance and support services for the TripFumi app. Apple has no obligation to furnish any maintenance or support services.
Warranty. Zenfumi is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the TripFumi app fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the app to you (if any). To the maximum extent permitted by applicable law, Apple has no other warranty obligation whatsoever with respect to the app.
Product claims. Zenfumi, not Apple, is responsible for addressing any claims relating to the TripFumi app or your use of it, including: (i) product-liability claims; (ii) any claim that the app fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer-protection, privacy, or similar legislation.
Intellectual-property claims. If a third party claims that the TripFumi app or your use of it infringes that party's intellectual-property rights, Zenfumi, not Apple, is solely responsible for the investigation, defense, settlement, and discharge of that claim.
Legal compliance. You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
Third-party beneficiary. You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and that, upon your acceptance, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

17.2 Google Play

If you obtained the TripFumi app from Google Play, you acknowledge that these Terms are between you and Zenfumi only, and not with Google LLC. Zenfumi, not Google, is solely responsible for the TripFumi app and its content. Your use of the TripFumi app must comply with the Google Play Terms of Service in force at the time. To the extent these Terms conflict with the Google Play Developer Distribution Agreement or other applicable Google policies as they apply to end users, those Google policies control.

18. Disclaimers

THE SERVICES, INCLUDING ALL AI OUTPUTS, FLIGHT DATA, WEATHER DATA, PLACE DATA, SEARCH RESULTS, PRICING AND AVAILABILITY INFORMATION, AND OTHER CONTENT, ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITH ALL FAULTS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ZENFUMI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, PARTNERS, AND LICENSORS (THE "ZENFUMI PARTIES") DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, AND QUIET ENJOYMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR TRADE USAGE.

THE ZENFUMI PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE; THAT DEFECTS WILL BE CORRECTED; OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE ZENFUMI PARTIES MAKE NO REPRESENTATIONS OR WARRANTIES WITH RESPECT TO THE ACCURACY, COMPLETENESS, RELIABILITY, OR TIMELINESS OF ANY AI OUTPUT, FLIGHT, WEATHER, PRICE, ADDRESS, PLACE, OR THIRD-PARTY INFORMATION PROVIDED THROUGH THE SERVICES. YOU SHOULD NOT RELY SOLELY ON THE SERVICES FOR ANY DECISION THAT MATTERS TO YOUR TRAVEL, SAFETY, HEALTH, FINANCES, OR LEGAL POSITION; IT IS YOUR SOLE RESPONSIBILITY TO VERIFY ANY SUCH INFORMATION WITH AUTHORITATIVE SOURCES BEFORE ACTING ON IT.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN DAMAGES. ACCORDINGLY, SOME OF THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU, AND YOU MAY HAVE ADDITIONAL RIGHTS UNDER YOUR LOCAL LAW.

19. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL THE ZENFUMI PARTIES BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, GOODWILL, REPUTATION, DATA, OR TRAVEL OPPORTUNITY, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STATUTE, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT THE ZENFUMI PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL THE AGGREGATE LIABILITY OF THE ZENFUMI PARTIES FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO ZENFUMI FOR THE SERVICES IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS (US $100).

THE EXCLUSIONS AND LIMITATIONS IN THIS SECTION ARE A FUNDAMENTAL BASIS OF THE BARGAIN BETWEEN YOU AND ZENFUMI AND WILL APPLY EVEN IF A LIMITED REMEDY IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OR ALL OF THE LIMITATIONS IN THIS SECTION MAY NOT APPLY TO YOU.

20. Indemnification

To the maximum extent permitted by applicable law, you agree to indemnify, defend, and hold harmless the Zenfumi Parties from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your access to or use of the Services; (b) your User Content, including any claim that it infringes or misappropriates a third party's rights; (c) your violation of these Terms or of any applicable law; or (d) your violation of any third-party right. We may, at our option, assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

21. Governing law and venue

These Terms and any dispute arising out of or relating to them or the Services are governed by the laws of the State of Delaware, U.S.A., without regard to its conflict-of-laws principles, and by applicable U.S. federal law. The United Nations Convention on Contracts for the International Sale of Goods does not apply. To the extent permitted by applicable law, any claim arising out of or relating to these Terms or the Services must be brought exclusively in the state or federal courts located in San Francisco County, California, and you consent to the personal jurisdiction of those courts.

22. Your rights (California and general)

22.1 California residents

If you are a California resident, the California Consumer Privacy Act ("CCPA") and the California Privacy Rights Act ("CPRA") give you certain rights with respect to your personal information, including the right to know what we collect about you, to access that information, to correct inaccurate information, to delete your information, to opt out of the "sale" or "sharing" of your personal information, and to be free from retaliation for exercising these rights. TripFumi does not sell your personal information, and does not "share" it for cross-context behavioral advertising. To exercise these rights, contact us at privacy@tripfumi.com. We may need to verify your identity before responding.

22.2 All users

Regardless of where you live, you may at any time:

request a copy of your User Content in a portable format;
request correction or deletion of your account and associated User Content; or
ask questions about how we handle your information.

You can initiate account deletion directly from inside the TripFumi app, or by contacting privacy@tripfumi.com. We will respond within the time required by applicable law. Some information may be retained as described in Section 4.5 and in our Privacy Policy.

23. Changes to these Terms

We may modify these Terms from time to time. If we make a material change, we will provide reasonable advance notice — for example, by in-app notice or by email to the address associated with your account — at least 14 days before the change takes effect, unless a shorter period is required by law or by the change itself. The "Last updated" and "Effective" dates at the top of these Terms reflect the most recent revision. Your continued use of the Services after the effective date of a change constitutes your acceptance of the revised Terms. If you do not agree, you must stop using the Services and may delete your account.

24. Miscellaneous

24.1 Entire agreement

These Terms, together with our Privacy Policy and any additional terms you agree to for specific features, constitute the entire agreement between you and Zenfumi regarding the Services, and supersede all prior or contemporaneous agreements, communications, and proposals on the same subject.

24.2 Severability

If any provision of these Terms is held to be invalid or unenforceable, that provision will be modified to the minimum extent necessary, or severed, and the remaining provisions will remain in full force and effect.

24.3 No waiver

Our failure to enforce any provision of these Terms is not a waiver of that or any other provision.

24.4 Assignment

You may not assign or transfer these Terms or any rights or obligations under them, by operation of law or otherwise, without our prior written consent, and any attempted assignment without that consent is void. Zenfumi may freely assign or transfer these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of assets.

24.5 Force majeure

The Zenfumi Parties are not liable for any failure or delay in performance caused by circumstances beyond their reasonable control, including acts of God, war, terrorism, civil unrest, government action, pandemic, labor disputes, internet or telecommunications failures, or third-party service outages.

24.6 Notices

We may give you notice through the Services, by email to the address associated with your account, or by other reasonable means. Legal notices to Zenfumi must be sent to the address in Section 25.

24.7 Electronic communications

You consent to receive communications from us electronically, including notices, agreements, disclosures, and other records. You agree that all such electronic communications satisfy any legal requirement that they be in writing.

24.8 Relationship

These Terms do not create any agency, partnership, joint venture, employment, or franchise relationship between you and Zenfumi.

24.9 Headings

Section headings are for convenience only and do not affect interpretation.
